Terms and Conditions

The event ("Event") will be hosted by the company for participants that have applied and have been accepted or invited by the Company to participate in the Event ("Event") and for third-party providers that are invited by the Company to be involved in the Event, such as technology experts and mentors ("Providers"). The following Terms and Conditions ("Terms") apply to all Participants and Providers and are between you and the Company. If you have any questions, you may contact the Company regarding this Event at support@onova.io.
- Participants: Participants must be above 18 years of age to participate in this Event. Participation in the Event is at the sole discretion of the Company. Participation in the Event is voluntary. If you are an employee of the Company or one of its affiliates (a "Corporate Participant"), you voluntarily participate in the Event in your capacity as an employee of your the Company entity, and all the Company policies and other terms of your employment continue to apply to your participation as they do in your day-to-day work. If you are an employee of any contractor, supplier, developmental licensee, or franchisee of the Company or one of its affiliates (a "Non-Employee Participant"), you voluntarily participate in the Event in accordance with your employer's agreement with the Company or its affiliate, and any policies applicable to you in your day-to-day services shall continue to apply to your participation in the Event. You may also have your children participate in virtual portions of the Event at their own risk; provided that you make them aware of these terms and agree to the privacy and release terms herein on behalf of your children.
- Responsibility of Participants:
- Approvals: Whether you are a Corporate Participant or Non-Employee Participant, you are expected to have obtained the proper approvals from your management, and in the case of Non-Employee Participants, the Company is not responsible for any disciplinary action taken against you by your employer for failure to obtain such approvals.
- Hourly Employees. If you are an hourly employee, you are required to track and record the time you spent to participate in the Event and report such time as normally required by your employer.
- If and while on the Company's premises, you are required to follow all of the Company's policies, rules of conduct and safety. If you are found to be in violation of any of these Terms or the Company's policies and rules, or if you are found to be involved in any form of fraud, misrepresentation, violence, harassment, dishonesty during the Event, the Company reserves the right to disqualify you from the Event. You must conduct yourself in a professional manner as you would during your normal workday.
- Any swag or prizes granted by the Company or Providers as part of the Event is at the discretion of such granting party in accordance with these terms, and subject to availability. Participants acknowledge that the delay or loss of any shipment of any swag or prizes is outside of the Company’s or its Provider’s control.
- Employees of Franchisees, Developmental Licensees and Independent Contractor Status. If you are a Non-Employee Participant, you acknowledge that your participation in this Event does not mean you are an agent, employee or joint employee of the Company or any the Company affiliate, nor does it create a principal-agent relationship between the Company and a non-the Company employer. the Company and its affiliates shall have no right to act on behalf of your employer, and shall have no right to control the manner or means by which you perform services for the Company. Participation by a non-the Company employee also does not mean that the Company or any of its affiliates has any obligation to pay any federal, state, foreign and local employment, income and social security taxes, FICA, Medicare, retirement or social insurance, workers compensation insurance or other taxes or assessments arising from your participation. If you are a Non-Employee Participant, please contact your employer’s human resources office for further information about your obligations and restrictions associated with your participation.
- Providers: At the Company’s sole discretion, Providers may be invited to be mentors, third party vendors, judges or attendees. Please read these Terms carefully as certain Terms apply to you if you are a Provider. Providers may choose to share information about certain products or other tools available for the Participants to use for the Event. Any documentation, promotional materials, access, credits or information you provide directly to Participants, whether as a webinar, as written material, while coaching at the Event or otherwise, is voluntarily provided free of charge and will not be kept confidential. Any access to such tools given to Participants is solely for the Event and does not bind the Company or the employer of the Participant to any terms and conditions. the Company shall not be responsible for any misuse of tools provided by the Provider. You agree to provide any credits needed for Participants to use such tools directly to Participants at the Event. Use of such tools by Participants for the Event shall not be construed as use by the Company, and the Company shall not be responsible for any Participants’ use of such tools for the purpose of the Event. You understand and agree that your attendance at the Event does not create any business or employment relationship between you and the Company.
- Privacy: Certain information is collected by the Company for the purposes of planning the Event event and to plan for your participation in the Event. By submitting this information as part of application and registration for the event, you agree to the Company use of information. the Company will collect and use this information in accordance with its Global Privacy Statement. the Company will not share your information with any third party other than its contractors who are under the obligation to protect this information. If you have any inquiries about the data being collected, please contact the Company. Also, for the learning curriculum, webinars, award ceremony and other recordings during the Event, the Company may be taking photographs and video that may include images of presenters, audience members, award winners or other attendees. By signing below, you acknowledge that the Company may capture your voice or image in such photographs and video recordings, which will be retained by the Company for replay and promotional material for future events. If you have any questions about such photographs and video recordings, please contact the Company.
- Collaboration Tools: The Company, at its discretion, will provide you with access to the Event website on the platform licensed from Earth and a temporary virtual workspace on Microsoft Teams solely for use in connection with this Event, and may rescind such access at any time. When using the Event website and/or Microsoft Teams to communicate with other Participants and Providers, you should not have any expectation of privacy, and you must:
- Comply with all applicable local, state, national, and foreign laws, rules, and regulations;
- Comply with all these Terms and all the Company policies, including but not limited to the Company Standards of Business Conduct, the Company Information Governance Policy; the Company Computer Resource Acceptable Use Policy, the Company Social Media Policy; the Company Record Management Policy, and the Company Supplier Code of Conduct;
- NOT post any sensitive or personally identifiable information about you or anyone else (such as political affiliate or opinions, social security or other government issued identifiers, biometric data, financial information, health or medical information, gender and sexual orientation);
- NOT post content that may mislead, embarrass, harass, threaten, or abuse others;
- NOT post or use third party materials unless you have the legal right to do so (e.g., online publishing rights); and
- NOT disclose your password to any third party. You must treat your password to these the Company's tools as confidential information.
- Submission Requirements: This Event is a contest of skill and competition to develop and present ideas, within the stipulated time frame, to be judged in accordance with the Company judging criteria by judges selected by the Company (“Judges”). Each team of Participants is required to submit its ideas developed during the Event to the Company by uploading certain information onto the Event website for judging. Any and all code developed by your team shall be uploaded onto the code repository platform requested by the Company that will be announced at the start of the Event. You must also provide information regarding third party intellectual property (including any Provider tools or open source software) used to develop your Submission. the Company may disqualify you, and hold you directly responsible, if your submission: (i) is not submitted in accordance with the Company instructions and these Terms; (ii) infringes any third party’s copyright, trademark, patent or other proprietary rights or rights of publicity or privacy, or (iii) violates any applicable law (including but not limited to export control, unfair competition, anti-discrimination or false advertising).
- Release, Waiver: In consideration of participating in the Event, you hereby grant to the Company, the irrevocable, unrestricted worldwide right to record, use, publish, display, broadcast, edit, modify and distribute any photographs, videotapes, films, sound recordings or other materials bearing your name, voice, image, social profile, likeness and/or any other identifiable representation of Participant (collectively, “Likeness”) in connection with the Event. You agree that all materials containing your Likeness in connection with the Event shall be and remain the sole and exclusive property of the Company, and you hereby assign any right that you may have acquired in or to such material to the Company. You hereby release and forever discharge the Company from any and all claims, liabilities and damages relating to the use of your Likeness in connection with the Event. You hereby waive any right that you may have to inspect or approve the finished materials or any part or element thereof that incorporates your Likeness in connection with the Event. You acknowledge that you have fully read and understand this release and that you have had any questions regarding its effect or the meaning of its terms answered to your satisfaction. For clarity, the Company shall be permitted to share the materials containing your Likeness with the Company and Providers for purposes related to this Event and the Company future hackathon events.
- Intellectual Property Rights: Subject only to pre-existing rights claimed in a valid, issued United States Patent, the Company owns all comments, remarks, suggestions, ideas, graphics, photographs, materials, data or other information that is created by you and other Participants in the course of participating in this Event, and that is posted or communicated by you and other Participants using the the Company-provided collaboration tools (collectively, the "Submission"). the Company is not required to treat any Submission as confidential. the Company will have exclusive ownership of all present and future rights of every kind and nature everywhere in the world to each Submission. the Company is and shall be entitled to use the Submission for any commercial or other purposes whatsoever without notice or compensation to or approval from you or any other person. This means that the Company has the right to make, have made, offer for sale, sell, copy, distribute, perform, transmit, display, modify, adapt, and otherwise use your Submission throughout the world, in perpetuity, in any manner that it sees fit, without notice or compensation to or approval from you. the Company also has the right to use your name in connection with any use of your Submission. By making any Submission, you represent that you have all requisite rights to, and are authorized to disclose, all of the information contained in the Submission, and you hereby unconditionally and irrevocably assign to the Company your title, right and interest in an intellectual property developed by you during your participation in this Event. You agree that you are fully responsible for any Submission you make and for the legality, reliability, appropriateness, and originality thereof.
- Winning Teams:
- Judging Criteria. The criteria for the assessment of the Submissions by the Judges will be provided on the Event's website.
- the Company has the right to substitute the prizes with other prizes of similar value. Any type of recognition such as prizes shall be at the sole discretion of the Company based on the judging criteria, and shall be final and incontrovertible.
- Prior to claiming a prize, you must complete and execute any necessary form(s) presented by or on behalf of the Company for any prize. All taxes (federal, state, and local) on or connected with any prize, and the reporting consequences thereof, are solely the responsibility of that prize winner, unless the Company communicates to the prize winners some other process or requirement. the Company reserves the right to withhold and remit to the appropriate taxing authorities the amount of any taxes due. the Company is not responsible for and will not replace any lost, broken or stolen prizes.
- Confidentiality and Data: You are not permitted to use any the Company Confidential Information, including any the Company code or data, for your participation in this Event. If you are Non-the Company Employee, the terms of the agreement between your employer and the Company will apply to your confidentiality of Submissions and the Company Confidential Information. If you are a the Company Employee, the the Company Standards of Business Conduct apply to your obligations to maintain the confidentiality of the Company Confidential Information. Any non-public information contained in your Submission shall be kept as the Company Confidential Information until the Company discloses or gives you express written permission to disclose such information.
- Disclaimer and Liability: The Company shall not be responsible for any loss, damage, or other claims arising from or related to your participation in the event, including but not limited to: lost, late, misdirected entries and/or solution submission on the Earth and Microsoft Teams platforms or any error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials and/or submitted solutions, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive participation information by the Company on account of technical problems or traffic congestion on the internet or at any website or any combination thereof. You (and/or your employer) shall be liable for any and all loss, damage, liability, cost, and expense arising out of or related to: (a) any Submissions that you make and any other content, data, or information that you submit, post to, or transmit through the the Company collaboration tools; (b) your violation of these Terms or any the Company policy applicable to your participation in the Event; or (c) your violation of any rights of any third party.
- Use of Name: The trademarks used within the Event website are owned or licensed by the Company and its affiliates. All third-party trademarks are the property of the respective trademark owners. Participants and Providers may not use the logos or other trademarks of the Company in connection with this Event unless expressly authorized to do so in writing by the Company. Team names must not be connected in any way with the Company name, registered trademarks or product names, or use expressions that incite violence or are discriminatory, obscene, or represent any form of defamation.
- Disclaimer and Liability: The Company shall not be responsible for any loss, damage, or other claims arising from or related to your participation in the event, including but not limited to: lost, late, misdirected entries and/or solution submission on the Earth and Microsoft Teams platforms or any error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials and/or submitted solutions, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive participation information by the Company on account of technical problems or traffic congestion on the internet or at any website or any combination thereof. You (and/or your employer) shall be liable for any and all loss, damage, liability, cost, and expense arising out of or related to: (a) any Submissions that you make and any other content, data, or information that you submit, post to, or transmit through the the Company collaboration tools; (b) your violation of these Terms or any the Company policy applicable to your participation in the Event; or (c) your violation of any rights of any third party.
- United States Copyright Complaint Process and Notification Form: If you are a copyright owner and you believe that your copyright rights under United States law have been violated in any way by a Submission to the Event's website, please complete and submit a signed copy of the form below, and send to the Company.
- Conduct: These Terms will be governed and be interpreted pursuant to the laws, notwithstanding any principles of conflicts of law. the Company electronically or otherwise properly stored copy of these Terms shall be deemed to be the true, complete, valid, authentic, and enforceable copy, and you agree that you shall not contest the admissibility or enforceability of the Company copy of these Terms in connection with any action or proceeding arising out of or relating thereto.
